{"id":70,"date":"2025-09-07T16:24:33","date_gmt":"2025-09-07T15:24:33","guid":{"rendered":"https:\/\/www.gov.fk\/registry\/?page_id=70"},"modified":"2026-03-27T10:37:50","modified_gmt":"2026-03-27T10:37:50","slug":"annual-accounts-returns","status":"publish","type":"page","link":"https:\/\/www.gov.fk\/registry\/companies\/annual-accounts-returns\/","title":{"rendered":"Annual Accounts &amp; Returns"},"content":{"rendered":"\n<div class=\"wp-block-group has-global-padding is-layout-constrained wp-block-group-is-layout-constrained\"><div class=\"yoast-breadcrumbs\"><span><span><a href=\"https:\/\/www.gov.fk\/registry\/\">Home<\/a><\/span> \u00bb <span><a href=\"https:\/\/www.gov.fk\/registry\/companies\/\">Companies<\/a><\/span> \u00bb <span class=\"breadcrumb_last\" aria-current=\"page\">Annual Accounts &amp; Returns<\/span><\/span><\/div><\/div>\n\n\n\n<div style=\"height:4vh\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<h1 class=\"wp-block-heading\"><strong><strong><strong><strong>Annual Accounts &amp; Returns<\/strong><\/strong><\/strong><\/strong><\/h1>\n\n\n\n<div style=\"height:4vh\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<div class=\"wp-block-columns is-layout-flex wp-container-core-columns-is-layout-f77e2de0 wp-block-columns-is-layout-flex\">\n<div class=\"wp-block-column is-layout-flow wp-block-column-is-layout-flow\" style=\"flex-basis:66.66%\">\n<h3 class=\"wp-block-heading\">Annual Accounts:<\/h3>\n\n\n\n<p>From registration (ie 1st January) 1st set of annual accounts is due between the 6 months and 18 months from registration (i.e between the 1st July of that year and 1st July next year).&nbsp; Once submitted that becomes annual date for submission.<\/p>\n\n\n\n<p>All companies, whether trading or not, must keep accounting records; and all limited companies must submit accounts for each accounting period to the Registrar of Companies.<\/p>\n\n\n\n<p>Generally, accounts prepared by the directors must include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>A directors\u2019 report<\/li>\n\n\n\n<li>An auditors\u2019 report (unless the company is a small, dormant or not-for-profit public-sector company exempt from audit)<\/li>\n\n\n\n<li>A profit and loss account<\/li>\n\n\n\n<li>A balance sheet signed by a director<\/li>\n\n\n\n<li>Notes to the accounts<\/li>\n<\/ul>\n\n\n\n<p>Companies have 9 months to submit accounts from the date to which the accounts are made up to.<\/p>\n\n\n\n<p>All annual account reports that are submitted to the Registrar need to be signed by a Director of the company or the current secretary of the company.&nbsp;<\/p>\n\n\n\n<p><strong><em>Directors are personally responsible for preparing accounts and submitting to Registrar of Companies. Failure to do so may result in a criminal conviction and record for the director(s) and will result in financial penalties for the company.<\/em><\/strong><\/p>\n\n\n\n<div style=\"margin-top:0;margin-bottom:0;height:20px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<h3 class=\"wp-block-heading\">Annual Returns:<\/h3>\n\n\n\n<p>Every company must deliver an annual return to the Registrar of Companies at least once every 12 months.
