The Companies and Private Partnership Ordinance 1922 states the following:<\/p>\n\n\n\n

Requirements as to companies established outside Falkland Islands<\/h3>\n\n\n\n

(1) A company incorporated outside the Falkland Islands may carry on business in the Falkland Islands by filing with the Registrar General-<\/em><\/p>\n\n\n\n

     (a)     a certified copy of the charter, statutes, or memorandum and articles of the company, or other instrument constituting or defining the constitution of the company and, if the instrument is not written in the English language, a certified translation in the English language thereof;<\/em><\/p>\n\n\n\n

     (b)     a list of the directors of the company;<\/em><\/p>\n\n\n\n

     (c)     the name of some one or more persons resident or stationed for the time being in the Falkland Islands authorized to accept on behalf of the company service of process and any notices required to be served on the company,<\/em><\/p>\n\n\n\n

and in the event of any alteration being made in any such instrument, or in the directors, or in the names of any such person as aforesaid, the company shall file with the Registrar General within six months a notice of the alteration.<\/em><\/p>\n\n\n\n

(2) Any process or notice required to be served on the company shall be sufficiently served if addressed to any person whose name has been so filed as aforesaid and left at or sent to the address which has been so filed.<\/em><\/p>\n\n\n\n

(3) If any company to which this section applies fails to comply with any of the requirements of this section the company, and every officer or agent of the company, commits an offence and is liable to a fine not exceeding level 5 on the standard scale, or in the case of a continuing offence level 1 on the standard scale for every day during which the failure continues.<\/em><\/p>\n\n\n\n

(4) There shall be paid to the Registrar General for registering any document required by this section to be filed with them a fee of \u00a3250 or such smaller fee as may be prescribed by the Governor:<\/em><\/p>\n\n\n\n

Provided always that subsection (1)(a) and (b) of this section shall not apply to any company incorporated outside the Falkland Islands which carries on business within the Falkland Islands solely through the medium of a bona fide agent.<\/em><\/p>\n\n\n\n
